1. THESE TERMS

1.1 What these terms cover. These are the terms and conditions on which a vendor (the Vendor ‘you’, ‘your’, ‘they’) may list its products or services (Goods) for sale on etico (Etico, ‘we’, ‘us’).

1.2 Why you should read them. Please read these terms carefully before you upload any Goods to Etico. These terms tell you your responsibilities to Etico and the customer, and other important information.

2. CONDITIONS OF SALE

2.1 Compliance. By registering and listing Goods for sale on Etico, you agree that you and your Goods comply with the criteria to sell on the platform, as set forth below.

2.2 Removal. Etico reserves the right to terminate any listings that are in breach of our terms and conditions and remove any products at our reasonable discretion.

3. LISTINGS

By uploading products or services for sale on Etico, you agree to ensure that the following conditions are met.

3.1 Accuracy. The Vendor will ensure that the descriptions are accurate, not ambiguous or misleading, and that the items are in fact available for delivery to all buyers.

3.2 Vegan. The Vendor will ensure that the Goods are 100% vegan and do not include or involve any animal ingredients in their production.

3.3 Legality. The Vendor will ensure that they are legally entitled to sell the Goods listed. It is the Vendors responsibility to ensure the sale and distribution of Goods is not in breach of any applicable laws and that no regulatory restrictions or specific duties apply to such items. Etico shall not be responsible for verifying your right to list and sell Goods, or whether the sale of such Goods is prohibited or deemed illegal. Etico reserves the right to remove from listings, without prior notice to the merchant, any Goods whose sale becomes illegal or controversial in the UK.

3.4 Intellectual property. The Vendor will ensure that you do not infringe any third party intellectual property and you have all necessary licences or approvals in order to sell your Goods to the buyers on the website.

3.5 Packaging. The Vendor will ensure that and Goods are appropriately labeled and packaged to ensure safe delivery. In the case of food Goods, the Vendor will ensure that they comply with the Food Standards Agency regulations where applicable, and that the nutritional labelling includes mandatory ingredient statements as well as the relevant warnings where products contain major food allergens.

3..6 Delivery zone. The Vendor will ensure that they can deliver goods nationally across the UK (excluding the Channel Islands, Isles of Scilly and the Isle of Man); whether using a courier service or their own delivery method.

3.7 Pricing. You are in control of the listing price of your Goods. By listing Goods for sale you agree that you will supply the Goods at that price to customers on the website. The price listed must be in £ sterling currency only and include all applicable taxes.

3.8 Promotions & discounts. From time to time, Etico will offer customers discounts off their total basket value through the use of coupon codes. This could include, for example, an introductory 10% off the customer’s first order. The Vendor agrees that the cost of this discount should be borne by both Etico and the Vendor as a proportion of total order value.

3. WARRANTIES

You must provide customers with clear and accurate information regarding all Goods listed, as well as all consumer statutory rights and warranties, whether express or implied, which shall solely be borne by you.

YOU ACCEPT TO BE SOLELY RESPONSIBLE FOR THE GOODS’ QUALITY, FEATURES, SAFETY, ADEQUATE PACKAGING, NUTRITIONAL INFORMATION CONTAINED ON LABELS OR ADVERTISED ONLINE, NAMES, MARKS, STANDARD LABELS AND ANY PRODUCT RELATED INFORMATION THAT MAY BE REQUIRED OR EXPECTED BY CUSTOMERS. ANY DISCLAIMERS, NOTICES, WARNINGS OR PRODUCT RESTRICTIONS MUST BE CLEARLY STATED.

You undertake to address any issues raised by Etico on the customers’ behalf, including, but not limited to, complaints and refunds, in a timely and effective manner.

4. INTELLECTUAL PROPERTY

By listing Goods on Etico, you grant us and our affiliates a non-exclusive, worldwide, royalty-free right to exercise all copyright, database rights and rights of publicity over the material displayed in your product information and listings that you provide to us in any existing media now or in the future.

5. OUR FEES

A commission fee is charged per order for the use of Etico. This is communicated during the vendor registration process.

By listing products on the Etico you agree to all such applicable fees.

6. PAYMENTS

Your sales proceeds will be paid at the end of each month for Goods dispatched during the previous month, net of the above referred fees due, as well as of any refunds owed to customers pursuant to statutory regulations.

For the avoidance of doubt, any such refunds will be processed by us and deducted from your sales proceeds.

7. SALES & REFUNDS

You are responsible for all risk and liability related to supplying the order to the buyer and must endeavour to dispatch the item in a timely manner.

Customers will be entitled to return any products that fail to meet specifications or are unfit for consumption. The buyer has 14 days in which to notify Etico of their refund request, starting the day the goods have been received. Some items, such as perishable food products, are not eligible for returns and refunds.

Any refunds due to poor quality will amount to the price of the item plus shipping costs and will be offset from your payment as per clause 6.

Your returns and refund policy must adhere to Etico’s.

8. VAT

It is your responsibility to ensure that the selling price of your Goods listed includes all applicable taxes, including customs and excise duty, VAT and any other applicable taxes.

Etico will carry out all necessary checks of your UK VAT Registration as part of our vendor onboarding process and please note that you, as the vendor, are fully responsible for reporting and paying to HMRC all VAT charged on the transactions generated via Etico.

Etico will provide monthly VAT invoices to you for our commission, of which VAT will be inclusive. Etico are liable to pay standard rate VAT on our commission of all Goods sold, except on those Goods that are VAT exempt, and this VAT is included within the rate of commission communicated to you during the vendor registration process.

If etico becomes aware by HMRC or otherwise, that you, as the vendor are not meeting your UK VAT requirements we may be forced to stop you from offering any further goods for sale on etico until such time that HMRC notifies us otherwise.

9. CUSTOMER COMMUNICATION

You may not directly communicate with or target marketing (including any statements of your own company website domain) at any customers of Etico, via any means, except for responding to direct messages regarding product queries or orders via Etico. This includes but is not limited to: promotional leaflets in packaging that encourage customers to buy elsewhere, promotional emails, including email signatures or footers with marketing messages, and order acknowledgement or dispatch emails.

10. CUSTOMER DATA

The Vendor does not have the right to retain customer data beyond the point at which it is necessary to fulfil any orders received from Etico and any returns and refunds due. After this point, the Vendor must erase the customer data from any systems they use, including but not limited to order fulfilment software, CRMs and email clients.

11. TERMINATION

We will monitor the Vendor’s performance very closely and may reasonably request further information about you or your business activities from time to time. We reserve the right to suspend or terminate your account if you fail to provide us with such information, or if your business conduct or use of the service is detrimental to the quality of the platform in a manner that results in or may result in complaints, disputes, claims, reversals, chargebacks, fees, fines, penalties and other liability or otherwise harmful to our business operation or abusive to buyers.

We reserve the right to suspend or terminate your account if you are in breach of the terms and conditions without notice.
